On 25 March 2025 the Company published its Notice to Convene its Annual General Meeting on 11 April 2025, whereby it was proposed to re-elect Henrik Juuel and Mats Thorén & elect Jens Due Olsen and Donna Haire to the Board of Directors. Henrik Juuel (born 1965, Danish nationality), considered independent according to the Danish Corporate Governance Recommendations, has been a member of BioPorto’s Board of Directors since 2024 and currently serves as the Chair of the Board of Directors. Henrik Juuel has been the Executive Vice President and Chief Financial Officer at Bavarian Nordic since 2018. Prior to joining Bavarian Nordic, Henrik Juuel served as CFO at Orexo AB and held senior positions at several large and diverse organizations, including Group CFO of Virgin Mobile (Central and Eastern Europe), CFO of GN ReSound, and CFO of NNE Pharmaplan. Henrik Juuel began his career at Novo Nordisk in 1992, where he held several senior finance positions in Denmark and abroad during his 15-year tenure with the company. Henrik Juuel holds an M.Sc. in Economics and Finance. Mats Thorén (born 1971, Swedish nationality), considered independent according to the Danish Corporate Governance Recommendations, has been a member of BioPorto’s Board of Directors since 2024. He has spent 19 years as a Healthcare investment expert, working with firms like Nalka Life Science AB and MedCap AB, and now leads Vixco Capital as CEO and board member. Mats holds board positions at FluoGuide A/S, Xbrane BioPharma AB, Arcoma AB, C-Rad AB and Herantis Pharma Oy, and has previously held board roles at Cellartis AB, and others. His educational background includes Economics, focusing on Accounting and Financial Economics, and medical studies at the Karolinska Institute in Stockholm. Donna Haire (Born 1969, American nationality), considered non-independent according to the Danish Corporate Governance Recommendations, is board member and CEO of The Eriah Group, Inc., a global consulting firm specializing in turn-key R&D operations, including regulatory, quality, clinical, and medical affairs for drugs, biologics, medical devices, in vitro diagnostics, and combination products. With over 30 years of leadership experience in healthcare, pharmaceuticals, and medical devices, she has a proven track record of designing, developing, and successfully commercializing innovative products. Donna currently serves on the boards of FluoGuide A/S and Sedana Medical AB. Sedana Medical AB (publ) has today completed the acquisition of Innovatif Cekal, the supplier of the company’s main product (Sedaconda ACD). The acquisition will enable better control of the supply chain and improved profitability by reducing the cost of goods sold. 75% of the 34 MSEK total purchase price has been paid today from existing cash, and the remaining 25% will be paid in two years. The closing conditions have now been completed in accordance with the share purchase agreement announced by the company on July 22, 2024. The transaction is a good strategic fit and is expected to be financially accretive for Sedana Medical. “The acquisition of Innovatif Cekal marks a significant milestone in our journey to sustainable, long-term profitability. Purchase price, valuation and cashflow effects Sedana Medical purchases all shares in Innovatif Cekal for 34 MSEK on a cash and debt free basis. 75% of the purchase price is paid today, and the remaining 25% is to be paid in two years. Based on Innovatif Cekal’s financial result for the year 2023, the purchase price corresponds to an EBITDA multiple of 4.3x and a P/E multiple of 5.7x. There is no long-term debt in Innovatif Cekal. Related to the acquisition, Sedana Medical has incurred non-recurring costs of 2,5 MSEK during 2024, mainly related to legal advisors. Sedana Medical will finance the transaction with existing cash. At the end of Q3 2024, the company had a cash balance of 226 MSEK. Sedana Medical AB (publ) announces it has today entered into an agreement to acquire Innovatif Cekal, the supplier of the company’s main product (Sedaconda ACD). The acquisition will enable better control of the supply chain and improved profitability by reducing the cost of goods sold. IC produces SM’s main product Sedaconda ACD and certain accessories such as adapters, and SM has accounted for the majority of IC’s sales in recent years. On average during the period 2019-2023, IC reported annual sales of 10.9 million Malaysian Ringgit (approx. 24.7 MSEK based on today’s exchange rate). Rationale for the acquisition The acquisition of IC is a good strategic fit and is expected to be financially accretive for SM. Purchase price and valuation metrics SM will purchase all shares in IC for 34 MSEK on a cash and debt free basis. 75% of the purchase price is paid upon closing of the transaction, and the remaining 25% is to be paid 2 years after closing. Based on IC’s financial result for the year 2023, the purchase price corresponds to an EBITDA multiple of 4.3x and a P/E multiple of 5.7x. There is no long-term debt in IC. Financing and effects on cash flow SM will finance the transaction with existing cash. At the end of Q1 2024, SM had a cash balance of 361 MSEK. The acquisition is expected to have a net positive impact on SM’s cash flow from operations from 2025 and a net positive impact on its cash balance from 2028.
