Partner Neurocrine confirmed its plans to evaluate two new muscarinic agonist candidates in Phase 1 studies – both NBI-1117569 (a muscarinic M4-preferring agonist) and NBI-1117567 (a muscarinic M1-preferring agonist) are oral compounds that may have the potential to treat neurological and neuropsychiatric conditions. A Phase 1 study of NBI-1117569 has begun and a Phase 1 study of NBI-1117567 is expected to begin in 2024. Partner Pfizer entered a new oral small molecule GLP-1 receptor agonist into a Phase 1 clinical trial targeting metabolic diseases – PF-06954522 was discovered by Pfizer scientists during a multi-target research collaboration in which Pfizer had access to Sosei Heptares’ StaR® technology. Discussions underway with GSK to regain full ownership of GSK43814061, a clinic-ready, first-in-class, oral GPR35 agonist targeting Inflammatory Bowel Diseases (“IBD”) – upon regaining ownership, the Group expects to proceed with a planned UK Phase 1 trial of GSK43814061 while determining the optimal strategy for the further clinical development and/or re-partnering of the program. US$3.75 million milestone payment received from partner Genentech – the discovery-based payment is related to progression of a potential first-in-class project targeting an undisclosed GPCR. Partner Tempero Bio received FDA clearance to advance clinical development of TMP-301 for alcohol and substance use disorders – TMP-301 (formerly HTL0014242) is a selective, orally available mGluR5 negative allosteric modulator (NAM) candidate discovered by Sosei Heptares and out-licensed to Tempero Bio. Sosei Group’s share listing elevated to the Tokyo Stock Exchange Prime Market – shortly after, Sosei Group shares were included in the Tokyo Stock Price Index (TOPIX). Post-period Highlights Appointment of Chief Operating Officer – Mr. Toshihiro Maeda was appointed to this newly created role at Sosei Heptares to lead the post-acquisition integration of IPJ, and global technical operations, including manufacturing, supply chain and quality assurance, for the enlarged business in Japan and the Asia-Pacific region. Financial Highlights Revenue totalled JPY 12,766 million (US$90.8 million*), a decrease of JPY 2,803 million (US$27.7 million) vs. the prior corresponding period. The decrease is primarily due to the decrease in revenue related to upfront fees and milestone income due to signing no new partnership agreements and the occurrence of four milestone events in the current period vs. two upfront fee and five milestone events in the prior corresponding period, partially offset by the increase in pharmaceutical product sales due to the inclusion of IPJ in the scope of consolidation in July 2023, which resulted in the addition of PIVLAZ® sales. R&D expenses totalled JPY 10,075 million (US$71.7 million), an increase of JPY 2,621 million (US$14.9 million) vs. the prior corresponding period. This increase reflects an increased investment in discovery activities, but also reflects the impact of the weaker Yen. JPY 881 million (US$6.3 million) has been included for R&D expenses relating to IPJ and IPK. G&A expenses totalled JPY 9,965 million (US$70.9 million), an increase of JPY 5,588 million (US$37.6 million) vs. the prior corresponding period. This increase is primarily due to the inclusion of non-recurring M&A related costs. JPY 3,755 million (US$26.7 million) has been included for G&A expenses relating to IPJ/IPK. Operating loss totalled JPY 9,526 million (US$67.8 million) vs. an operating profit of JPY 3,436 million (US$26.2 million) in the prior corresponding period. This increase reflects the combined effect of all the movements explained above. Loss before income tax totalled JPY 10,680 million (US$76.0 million) vs. a profit before income tax of JPY 1,078 million (US$8.2 million) in the prior corresponding period. Net loss for the year ended 31 December 2023 totalled JPY 7,193 million (US$51.2 million) vs. a net profit of JPY 382 million (US$2.9 million) in the prior corresponding period. Core operating loss** totalled JPY 3,076 million (US$21.9 million) vs. a core operating profit of JPY 5,856 million (US$44.6 million) in the prior corresponding period. Cash and cash equivalents as at 31 December 2023 amounted to JPY 49,065 million (US$347.9 million) having decreased by JPY 17,492 million (US$159.1 million) from the beginning of the year. PIVLAZ™, a new drug for prevention of Cerebral Vasospasm in patients with Aneurysmal Subarachnoid Hemorrhage (aSAH), approved in South Korea PIVLAZ will become commercially available in South Korea in early 2025 Tokyo,Japan, Seoul, South Korea,andCambridge,UK, 7 December2023 – Sosei Group Corporation (“Sosei Heptares” or “the Company”; TSE: 4565) today announces that PIVLAZ™ (clazosentan sodium) 150 mg has received marketing approval from the Ministry of Food and Drug Safety (MFDS) in South Korea for the prevention of cerebral vasospasm, vasospasm-related cerebral infarction, and cerebral ischemic symptoms after aneurysmal subarachnoid hemorrhage (aSAH) securing. The MFDS approval is based on scientific and clinical data from an extensive Japanese Phase 3 program submitted by Idorsia Pharmaceuticals Korea (“IPK”), a Sosei Group company. The trials, which involved patients who had undergone clipping surgery or coiling treatment for aSAH, showed that PIVLAZ™ significantly reduced the incidence of cerebral vasospasm-related complications and all-cause mortality within six weeks of aneurysmal subarachnoid hemorrhage. The trials also confirmed the safety pro PIVLAZ™. In South Korea, the Marketing Authorization of PIVLAZ™ is held by IPK and will become commercially available to patients in early 2025. PIVLAZ™ received marketing approval in Japan in January 2022 and was launched in April 2022 by Idorsia Pharmaceuticals Japan ("IPJ”), also a Sosei Group company. PIVLAZ™ has been used in approximately 8,900 patients in Japan as of November 2023. Aneurysmal subarachnoid hemorrhage is a condition involving sudden life-threatening bleeding occurring in the subarachnoid space. It is caused by the rupture of an aneurysm – a weak, bulging spot on the wall of a cerebral artery. Emergency procedure (endovascular coiling or microsurgical clipping) is required to stop the hemorrhage. The bleeding and the release of endothelin, a potent vasoconstrictor produced by the neighboring vascular endothelium, can lead to cerebral vasospasm (constriction of arteries in the brain), usually occurring between four and 14 days after aneurysm securing. This diminishes blood flow to the brain, and about one third of patients consequently experience worsening of their neurological condition. Cerebral vasospasm is one of the leading secondary causes of disability and death in patients with aSAH. Professor Park Ik-seong, Chairman of the Korean Society of Cerebrovascular Surgeons (Professor of neurosurgery at Bucheon St. Mary's Hospital), said: "Cerebral vasospasm after subarachnoid hemorrhage is a serious symptom that can lead to death. PIVLAZ™ is a trademark of Sosei Group. -ENDS- Notes to Editors About the Japanese Phase 3 program The Phase 3 program consisted of two double-blind, randomized, placebo-controlled studies assessing the efficacy and safety of clazosentan in reducing vasospasm and vasospasm-related morbidity and all-cause mortality events in adult Japanese patients post-aSAH. Patients were randomized 1:1 to receive continuous infusion of either 10 mg/hr of clazosentan or placebo for up to a cumulative maximum of 15 days following the onset of aSAH. The two studies followed the same study design, with one enrolling 221 patients whose aneurysm was secured by surgical clipping and the other enrolling 221 patients whose aneurysm was secured by endovascular coiling. Both studies showed that clazosentan reduced the occurrence of cerebral vasospasm-related morbidity and all-cause mortality within 6 weeks post-aSAH with statistical significance (p<0.01 for both studies). The composite endpoint was defined by at least one of the following: All death / New cerebral infarction due to cerebral vasospasm / Delayed ischemic neurologic deficit due to cerebral vasospasm adjudicated blindly by an independent committee. The effect of clazosentan on all- cause morbidity and mortality was also significant (p<0.05) in a pre-planned analysis of the pooled studies whereas a numerical trend was observed in each study on this endpoint. In these Phase 3 studies in Japanese patients post-aSAH, there were no unexpected safety findings. Treatment-emergent adverse events occurring in >5% of the clazosentan group (with a difference of >2% compared to placebo) were vomiting and signs of hemodilution or fluid retention (i.e., hyponatremia, hypoalbuminemia, anemia, pleural effusion, brain and pulmonary edema). US$3.75 million milestone payment received from Genentech – the discovery-based payment is related to progression of a potential first-in-class project targeting an undisclosed GPCR. Genentech will now be responsible for further development and commercialization of this potential new medicine. Financial Highlights for the Nine-month Period ended 30 September 2023 Revenue totalled JPY 5,474 million (US$39.6 million*), a decrease of JPY 3,167 million (US$27.9 million) vs. the prior corresponding period. The decrease is primarily due to the decrease in revenue related to upfront fees and milestone income due to signing no new partnership agreements and the occurrence of one milestone event in the current period vs. one upfront fee and three milestone events in the prior corresponding period, partially offset by the increase in pharmaceutical product sales due to the inclusion of Idorsia Pharmaceuticals Japan Ltd (“IPJ”) in the scope of consolidation in July, which resulted in the addition of PIVLAZ® sales.R&D expenses totalled JPY 7,013 million (US$50.8 million), an increase of JPY 1,390 million (US$6.9 million) vs. the prior corresponding period. This increase reflects an increased investment in discovery activities, but also reflects the impact of the weaker Yen. JPY 358 million (US$2.6 million) has been included for R&D expenses relating to IPJ and Idorsia Pharmaceuticals Korea Co., Ltd (“IPK”).G&A expenses totalled JPY 6,012 million (US$43.5 million), an increase of JPY 2,842 million (US$18.7 million) vs. the prior corresponding period. This increase is primarily due to the inclusion of non-recurring M&A related costs.
